What are the rules for issuing stock?
In Florida, companies issuing stock must adhere to the rules and regulations established by the Florida Department of State, Division of Corporations. Generally, companies that issue stock in Florida must first register their stock with the Division of Corporations. Companies must file a registration form and pay a fee to register their stock. To register the stock, the company must include the following information: the number of shares being issued; the par value of the shares; the name and address of each shareholder; and the name and address of the registered agent for the Florida company. Additionally, most companies must also provide a copy of the company’s Articles of Incorporation. Once the registration is complete, the company must then issue a stock certificate to each shareholder. The stock certificate must include the name of the company, the date of issuance, the number of shares, the par value, the name of the shareholder, and the name of the transfer agent who is authorized to transfer shares. Finally, the company must keep accurate records of all stock transactions, including the date, the number of shares, the name of the shareholder, and the amount paid for the stock. Companies must also keep records of their financial statements, including balance sheets, income statements, and cash flow statements. By following these rules, companies can issue stock in Florida in compliance with state laws.
