What is a shareholder derivative action?

A shareholder derivative action is a type of lawsuit that may be brought in a corporate setting in Nebraska. This type of action is very specific and is only available to shareholders of a company. It allows shareholders to step into the shoes of the corporation itself and bring a lawsuit against the directors or officers of the company, as well as any other third parties that may be involved. The purpose of such an action is to protect the interests of the company and its shareholders. In a derivative action, the shareholders of the company are acting on behalf of the company itself. The shareholders are not suing to recover damages for their own personal losses, but instead are seeking to recover damages for the company. For example, if a company’s directors and officers have been accused of engaging in negligence or it is suspected that they have misappropriated company funds, shareholders can file a derivative action in order to recover damages on behalf of the company. In this case, the shareholders are essentially standing in the place of the company itself and acting on its behalf. Furthermore, the shareholders must typically show that the directors and officers of the company have breached their fiduciary duties to the company. If the shareholders are successful in proving this, they may be able to recover damages for the company and any other parties that were harmed as a result. The lawsuit must also be brought on behalf of the company as a whole, and not just for the sake of the individual shareholders themselves.
