What is a contract?

A contract is an agreement between two or more parties that creates a legally binding exchange of promises and/or obligations. In Virginia, an enforceable contract must contain four essential elements: (1) an offer, (2) acceptance of the offer, (3) consideration (something of value promised by one or both parties), and (4) mutual understanding between the parties. The offer is an action by one party that shows a willingness to enter into a contract. The acceptance is an agreement by the other party to enter into the contract. Consideration is something of value promised by both parties and can be in the form of money, goods, or services. For example, if one party promises to provide a service in exchange for cash, both the work and money are consideration. It is important to note that any consideration given must be something of value and meaningful to both parties. Lastly, both parties must have mutual understanding of what each party is offering in exchange for the other. For example, if one party is offering a service for a fee, both parties must understand the type of service being provided and the fee the other party will pay. If the parties cannot agree on the terms of the contract, then no agreement is formed and no contract exists.
