What are the elements of a contract?

A contract is an agreement between two or more parties that creates a legally enforceable obligation. In order for a contract to be valid in Mississippi, it must have the following elements: 1. Offer and acceptance: For a contract to be valid, an offer must be made and accepted by both parties. The offer must be sufficiently specific and include the subject matter, price and all other terms and conditions of the agreement. 2. Consideration: Consideration is the exchange of something of value between the parties. This could include money, goods, services or promises to do or not do something. 3. Legality: The purpose of the contract must be legal. If the agreement is for an illegal purpose, it will not be valid. 4. Capacity: All parties involved in the contract must have the capacity to understand the agreement and its consequences. This means they must be of legal age and mentally competent. 5. Intention: For a contract to be valid, both parties must have the intention to be legally bound. 6. Writing: Mississippi has certain statutorily required contracts that must be in writing. These include contracts for the sale of real estate, contracts that cannot be completed within one year, contracts involving the sale of goods over $500, and leases for a term longer than one year.
