What is a contract of sale?

A contract of sale is a legally binding agreement between a buyer and a seller that specifies the terms of the sale of goods, services, or property. In Nebraska, a contract of sale must contain all of the essential elements for it to be legally enforceable. These elements include the parties to the contract, the terms of the sale, a description of the goods or services to be exchanged, the amount of consideration to be paid, and the date of performance or delivery. When a buyer and seller agree to the terms of a contract, they must sign the contract and exchange consideration for the goods or services. Consideration must be something of value and may include cash, a promise to do something, or a gift. Once the contract is signed, the buyer and seller are legally bound to fulfill their obligations as outlined in the contract. If either party fails to fulfill their obligations as specified in the contract, they may be held liable for breach of contract. In many cases, the breaching party may be required to pay monetary damages to the non-breaching party for any losses caused by their failure to fulfill their end of the agreement. In some cases, the court may also order a specific performance, where the breaching party is required to perform the obligations of the contract.
