What is the Uniform Commercial Code?

The Uniform Commercial Code (UCC) is a set of laws governing commercial transactions in the United States. It is administered by the National Conference of Commissioners on Uniform State Laws and the American Law Institute, and essentially applies to any transaction involving the sale or lease of goods, services, or real estate. It is composed of nine articles and provides uniformity of commercial law between states in the US. In Washington, the UCC sets out the basic rules of contract formation and performance, the remedies available in case of breach, and provides for the resolution of conflicts between parties to a contract. It also covers topics such as secured transactions, loans, and promissory notes. Further, it provides consumers with certain protections under the law while regulating aspects of product liability, safe products, and dangerous products law. In the context of product liability, the UCC’s Article 2 provides that a supplier is responsible for any defective goods it provides to consumers and for damages caused by such defects. Further, there is a “strict liability” provision which states that suppliers may be held strictly liable if their goods are found to be defective, regardless of fault or negligence. Finally, there are special rules that may be applicable in cases of dangerous products, such as certain types of cars, which are subject to additional liability requirements under the UCC.
