What is a nondisclosure agreement, and what are its legal requirements?
A nondisclosure agreement (NDA), also known as a confidentiality agreement, is a legal document that is used to protect confidential information, such as trade secrets or business plans, from being shared with outside parties. In the entertainment industry, NDAs are often used to protect the intellectual property of artists, songwriters, producers, and other creative professionals from unauthorized use by third parties. A typical NDA will set forth the details of the confidential information that is to be protected, including the scope of protection and the parties who are bound by it. The agreement will also outline when and how the information can be used, who will have access to it, and the consequences if it is disclosed without authorization. In addition, a NDA may also require that the recipient of the confidential information return or destroy it if the agreement ends. Under New York state law, a nondisclosure agreement must be freely negotiated and entered into in good faith. It must also be written in clear and understandable language, and must be sufficiently tailored to meet the particular need or situation. Finally, to be legally binding, the NDA must be signed by both parties and witnessed by a notary or other authorized individual.
