What is a prospectus?
A prospectus is an official document that provides prospective investors with detailed information about an investment. It is a legal document that is usually required by the state of Virginia when a company or organization is attempting to sell stocks, bonds, or other similar securities to the public. The prospectus helps investors understand the risks associated with the security, the company’s background, and other related factors. The prospectus must include a description of the company’s business and operations, the intended use of the funds that will be raised, a description of the security, the securities’ offering terms, the management of the company, company financial information, a description of any risk factors, and any other material information. This information helps prospective investors decide whether or not to purchase the security. The prospectus is especially important in protecting investors from fraudulent investment schemes, as it makes them aware of the various risks associated with the security being offered. In Virginia, the Department of Business and Professional Regulation sets forth detailed rules and regulations for the preparation of prospectuses, and requires that they be filed with the Virginia State Corporation Commission before any securities can be offered.
