What is a Technology Transfer Agreement?
A Technology Transfer Agreement (TTA) is a legal contract between two parties which outlines the transfer of a certain technology from one party to the other. It details the rights and obligations of both parties in the agreement, including the intellectual property rights associated with the technology. The purpose of a TTA is to protect the interests of both parties by ensuring that the transfer of the technology is in accordance with the terms of the agreement, and that any intellectual property rights that may be associated with the technology are respected. In Florida, TTAs are regulated by state law and the terms and conditions contained in a TTA must conform to the state’s Intellectual Property Law. The law protects both the original inventor of the technology as well as the party receiving it. It assures that the inventor of the technology is able to reap the financial benefits that come from the transfer of that technology. Likewise, the party receiving the technology is assured that they will be able to fairly exploit the technology they are receiving. In addition to protecting the interests of both parties, a TTA also allows for the free and orderly exchange of technology. This provides an opportunity for technological advancements and economic growth. By allowing for the transfer of technology between parties, both parties can benefit from technological advancements and the increased economic activity that comes with such developments.
