What is a Technology Transfer Agreement?
A Technology Transfer Agreement (TTA) is a legal document that governs the transfer of intellectual property (IP) rights from one entity to another. In New Hampshire, intellectual property law governs the transfer of these rights, so a TTA is designed to protect the rights of both the transferor (the person or company transferring the IP rights) and the transferee (the person or company receiving the IP rights). A TTA can take many forms, depending on the nature of the IP rights being transferred. In general, however, it is a contract that outlines the terms of the transfer, including what rights the transferor is granting the transferee, what fees and royalties will be paid, and any other conditions or restrictions. It also sets out the duration of the agreement, any disputes resolution mechanisms, and the processes for terminating the agreement. The TTA may also require that the transferee take certain steps in order to maintain the IP rights, such as filing for additional patents, copyrights, or trademarks. In New Hampshire, a TTA is a legally binding document and can be enforced in a court of law. Therefore, it is important that entities entering into a TTA understand the terms and conditions of the agreement and comply with the requirements set out therein.
