What are the laws concerning the protection of trade secrets and confidential information?
In Mississippi, it is unlawful for a person to use, disclose, or acquire trade secrets or confidential information without the consent of the rightful owner of the property. Trade secrets include any information or material which has been derived, developed, or acquired through experience, effort, or research in the course of business and is not generally known or easily ascertainable to persons in the same business as the rightful owner. Confidential information is also protected from disclosure and acquisition by law in Mississippi. This includes any information, regardless of its form or characteristics, that is disclosed in confidence by a person to another and is not generally known. Under Mississippi computer law, a person who obtains trade secrets or confidential information without authorization or violates a confidentiality agreement can be held liable for damages from another party to compensate for the wrongful possession or disclosure of confidential information. Depending on the nature of the unlawful action, the person who obtains or discloses the confidential information without authorization may be subject to civil money damages, punitive damages, or criminal fines. Therefore, to protect trade secrets and confidential information in Mississippi, a business should have measures in place to both prevent unauthorized acquisition and disclosure of trade secrets and confidential information, as well as enforce any agreements that are in place for the protection of the information. Additionally, businesses should have procedures in place in the event that a trade secret or confidential information is acquired or disclosed without authorization.
