What is the regulation of foreign investment?

Foreign investment in Hawaii is regulated by the Hawaii Foreign Investment Law. This law requires that any foreign company wanting to invest in the state must register with the Hawaii Department of Business, Economic Development, and Tourism (DBEDT). DBEDT reviews applications based on criteria such as job creation for Hawaii residents, the company’s financial standing, and how the proposed investment will benefit the state. Foreign companies must also comply with the same rules and regulations as domestic companies when doing business in Hawaii. This includes filing taxes, obtaining necessary licenses and permits, and following all applicable local laws. The Hawaii Foreign Investment Law also requires foreign investors to take certain steps to protect their investment, such as registering it with the Hawaii Securities Commission and obtaining a Hawaii Insider Trading License. Additionally, foreign investors are not permitted to acquire more than 25% of the voting shares of an existing Hawaii company unless the company has fewer than two directors and has not been in business for more than two years. Lastly, the law requires foreign investors to report any changes in their investment to DBEDT within 30 days. This ensures that DBEDT can better monitor and ensure compliance with the law.
